Terms of Service
Please read these terms carefully before using Avrazia's services. They govern the relationship between you and Avrazia and set out your rights and obligations.

1. Agreement to Terms
By accessing or using Avrazia's website or services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use our services. These terms apply to all visitors, clients, and users of our platform and services.
2. Description of Services
- AI Voice Agent development — design, build, and deployment of AI-powered telephone and voice interaction systems.
- Intelligent Chatbot development — design, build, and deployment of LLM-powered conversational interfaces for web, mobile, and messaging platforms.
- Automation Pipeline engineering — design, build, and deployment of automated workflows connecting your tools, systems, and data sources.
- Digital Marketing services — SEO management, paid advertising, social media management, content production, and email marketing.
- Strategy and consulting — discovery sessions, AI readiness assessments, and growth strategy engagements.
- The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW) or service agreement signed by both parties.
3. Payments and Billing
- Monthly retainer fees are invoiced in advance at the start of each billing cycle and are due within 7 days of the invoice date.
- Annual plans are billed in full at the start of the engagement and are non-refundable except where otherwise required by law.
- One-time project fees are structured as defined in the SOW, typically with a deposit on commencement and the balance due on delivery.
- Late payments accrue interest at 1.5% per month (or the maximum permitted by law, whichever is lower) from the due date.
- We reserve the right to suspend services for accounts more than 14 days overdue after providing written notice.
- All fees are quoted in USD and exclude applicable taxes unless stated otherwise. You are responsible for any applicable sales tax, VAT, or GST.
4. Intellectual Property
Upon receipt of full payment for a project, Avrazia assigns to the client all intellectual property rights in the custom deliverables created specifically for that client under the applicable SOW. Avrazia retains ownership of all pre-existing IP, internal frameworks, templates, methodologies, tools, and general know-how used in delivering the services. Avrazia retains the right to reference the engagement in its portfolio and marketing materials unless the client requests a non-disclosure agreement in writing.
5. Client Responsibilities
- Provide timely access to the systems, platforms, credentials, and information necessary for Avrazia to deliver the services.
- Designate a point of contact with authority to make decisions and approve deliverables.
- Ensure that all content, data, and materials provided to Avrazia do not infringe any third-party rights.
- Review and provide feedback on deliverables within agreed timeframes. Delays caused by late client feedback may impact project timelines.
- Comply with all applicable laws and regulations in connection with your use of the services and the systems we build.
6. Confidentiality
Both parties agree to keep confidential all non-public information disclosed by the other party in connection with the services, and to use such information solely for the purpose of performing obligations under the engagement. This obligation does not apply to information that is or becomes publicly known through no breach of this agreement, is independently developed, or is required to be disclosed by law.
7. Limitation of Liability
To the fullest extent permitted by applicable law, Avrazia's total liability to you for any claim arising out of or relating to these terms or the services shall not exceed the total fees paid by you to Avrazia in the three months preceding the event giving rise to the claim. In no event shall Avrazia be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
8. Warranties and Disclaimers
Avrazia warrants that its services will be performed in a professional and workmanlike manner. Except as expressly stated, the services are provided 'as is' without warranty of any kind. Avrazia does not warrant that AI systems will be error-free, uninterrupted, or that they will achieve any specific business outcome. Results depend on factors outside Avrazia's control including market conditions, client implementation, and third-party platform behaviour.
9. Termination
- Either party may terminate a monthly retainer engagement with 30 days written notice.
- Either party may terminate immediately if the other party materially breaches the agreement and fails to cure the breach within 14 days of written notice.
- Upon termination, Avrazia will deliver all completed work product and client-owned assets within 10 business days.
- Client is responsible for fees for services rendered up to the termination date.
- Provisions relating to intellectual property, confidentiality, limitation of liability, and governing law survive termination.
10. Governing Law
These terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Delaware. Notwithstanding the foregoing, Avrazia may seek injunctive or other equitable relief in any court of competent jurisdiction.
11. Changes to These Terms
We reserve the right to modify these Terms of Service at any time. For existing clients, material changes will be communicated with at least 30 days notice before taking effect. Your continued use of our services after changes take effect constitutes acceptance of the revised terms.
